cpu throttling??

hey guys been a while since ive been on here (been to busy to mess with the pc)

im having an issue with my current system, cpu seems to be throttling back as soon as the cpu temp hits 45 degrees and i dont understand why, im hoping one of you geniuses can help :)

current spec is

asus m2n-cm dvi
am2 phenom x3 8450
4 gb corsair pc2 6400
Freezer 64 PRO cooler
8800gts
g7 680 watt psu

ive disabled c&q in the bios but when running prime 95 it still drops the cpu speed from 2.1ghz to 1095mhz (monitored with cpuz) not for long about 5/10 secs but i notice it while playing games.

there is no setting for that, today ive re seated the cooler with new silver paste, core temp was telling me my core temps were 38 and asus motherboard monitor thing im using was saying 45, as soon as coretemp hit 38 it slowed to 1050 mhz again, changed the paste and re seated the cooler and it shows core temps are around 30 and the asus thing says 45 and its still slowing to 1050mhz, updated bios still no change, c'n'q turned off and cpu fan running at full speed.

really annoying me now i was hoping to play black ops today
