Help upgrading CPU / RAM / Motherboard

I am looking to upgrade my cpu, ram, motherboard. I have a 480W Enermax PSU, Lian Li case, Radeon 4670 PCI-Express, 500GB SATA hdd that i will be keeping.

I will need 16GB ram for some of the VMware stuff i am planning on running on there and only want to spend around £300. So far i have come up with the following:-

Gigabyte GA-880GM-UD2H AMD 880G (Socket AM3) microATX DDR3 - £64.99
AMD Phenom II X4 Quad Core 955 Black Edition - £107.99
G.Skill RipJawsX 8GB (2x4GB) DDR3 1333MHz (x2) - £140

Total £312

I cant afford a sandybridge setup, going for a H67 motherboard and lowest i5 would be about £370 which is too much, and i wouldnt give up any ram, so are there any suggestions on any changes?

I am not familiar with the different AMD chipsets so not sure if that motherboard is the best one for that price point and i would also like to overclock it.

Thanks for the advice on the RAM!

I have an Arctic cooling freezer 7 Pro which is from a skt939 system as i read the clips are the same. Does anyone know if these small matx boards can actually overclock well or is it a waste of time on these cheaper boards?
 
They clock perfectly well!

All chipsets with AMD allow overclocking - unlike this current marketing scam by Intel!
