Help with new upgrade

It about time that i upgraded my pc. But i need a little help in deciding. At the moment ive got ga-965p-ds3, E6420 (at 3.44 watercooled) 2 gig xms2 (at 860mhz). Msi NX8800GT
Im looking to change the mobo and processor. Im not to worried about quad, so was thinking about one of the new E8*** series. I have a budget £300 to change both if any change maybe change the ram as well.
I want to use what i change to build a pc for the kid so cant use the sale of them to pay extra.(get in the ex good books )
Any help would be welcome

I will be overclocking and have a good water kit so which is a better buy the E8200 or E8400 pound for pound.

overclocking will depend on how good you're memory goes tbh.

out of the 2 i'd go for the 8400.

have a look at the gigabyte p35 ds3r, or one of the x38 boards.
