Help with rebuild / upgrade

Hi all, looking for a bit of advice. I have an old HTPC system that i use mainly for films / gaming that is in dire need of a few upgrades. Below is my curernt spec:

AMD X2 4200+ (socket 939)
2GB DDR
Nvidia 8800GTS
Thermaltake DH-101
600 W Zalman PSU (ZM600-HP)
The rest is unimportant really

I have £500 burning a hole in my pocket, but cant decide how best to spend it !

Ideally i think i want to go i5 or i7, but hoping to keep upgrade costs low, so want to reuse case / PSU and possibly graphics card. A few questions on this though...

1) is my current zalman PSU enough for an i5 or i7 ? how about the overclocked 4GHz i5?
2) How does an 8800GTS compare to say an ATI 5770? is it worth me spending some of the money on a g'card, or should i spend it all on getting a better CPU / MB / RAM?

I think the best bet is the overclocked i5 on special at the mo, but i could just about scrape together an i7 with board and ram for the £500. Or would i be best getting cheaper i5 components and a new graphics card !

Have been looking into it all weekend and cant decide !
