I wish to upgrade my old P4C800-E mobo to go quad core. My main priority is music creation but I also play some games ie, Half-Life2 at a resolution of 1280*1024. My old graphics card is a Radeon X800XL.

Here is the new spec.

Asus P5K Premium/WiFi-AP Intel P35 (Socket 775) PCI-Express DDR2 Motherboard
Intel Core 2 Quad Pro Q6600 "Energy Efficient SLACR 95W Edition" 2.40GHz (1066FSB) - Retail
Corsair 2GB DDR2 XMS2 DHX PC2-6400C4DHX TwinX (2x1GB
Gigabyte GeForce 8800 GT OC 512MB GDDR3 HDTV/Dual DVI (PCI-Express) - Retail (GV-NX88T512HP)
Corsair HX 620W ATX2.2 Modular SLI Compliant PSU (CMPSU-620HXUK)

I already have Seagate Sata HDs and will use my old DVD burner PATA device.
I will be using my RME soundcard in a PCI slot. I will be sticking with XP as it is better for music creation for the time being.

Will the 6400C4DHX memory be ok bearing in mind I would only do a mild overclock and not go mad or would Dominator PC-8500C5 be a better bet.

One other thing do I have to buy a new XP license for the new mobo.

the 6400C4 memory will be fine as that will allow you to overclock upto 3.6Ghz without overclocking the memory.
You will have to buy a new copy of XP if you have an OEM version, if you have retail then you can just load it on your new machine.

Was thinking that the Corsair HX 620 watt would allow for future ungrades.

And will that graphics card be ok.
