Core i3 2120 (probably)
8GB of DDR3 (16 if prices are low)

Mainly just hung up on a board to put in it, is it best to go for the latest chipset? my only requirement is a pci-e slot and a pci slot available and obviously supporting atleast 8 gb of memory.

Tbh for a HTPC i doubt your going to touch 4Gb of ram let alone need 16, personnaly i would go for a cheep one as your unlikely to use many of the features offered on more expensive boards. the only thing i may look for is one with WiFi if your going to be needing it as it keeps every thing neat.
