HTPC Spec ... what to do?

Hi,

I have an htpc consisting of an old Intel P4 3.0GHz, but it's getting slow. I have an old socket 939 AMD x2 4400 would I do better to buy a suitable motherboard, for the AMD and use that in place of the Intel P4 or replace the system with a newer quieter alternative?

Will the AMD chip above use more power than a AM2 alternative for instance, or is the amount negligible? Or would I be better using an Intel alternative processor?

Can anyone offer an informed opinion on the above please?

Can someone spec me a suitable low cost and hopefully silent htpc build please? It will be used for VHS conversion etc. Running MCE 2005 and will be powered on 24/7.
