Technically you should, but sometimes some people seem to get away with it, and Ive also seen reports of you being able to contact MS about it and get round it or something, sorry its not anything Ive ever done
 
All you need to do is tell MS over their phone reactivation line that your motherboard fried and you had to replace it with a new one to get the PC working again and they will give you a new reactivation code ;). They are quite nice about it and never had a problem doing that.. BUT....... Why you even bothering to update from what you have ?? You have a nice system... Save up for the 8-core CPUs...
