Info about changing CPU multiplier

I have never been a big over clocker or PC gamer, but after killing me 6th xbox i and going to start using my pc. So i tried a little over clocking on my soon to be old system.

I have a Pentium D 940 3.20Ghz i clicked it to 4.00Ghz with a FSB of 250 X16, When i was looking on Cpu-Z i noticed the multiplier keeps jumping from X16 to X12 and back ever 10-20 sec's i was wanting to know if i can stop this from happing as the CPU go's from 3.00Ghz to 4.00Ghz

My spec is:
CPU: Pentium D 940 3.20Ghz (trying for 4.00Ghz)
Mother board: Foxconn P9657AA rev 1.0
Ram: 4GB kingston value ram (4x1gb stick)
OS: Windows XP media center 32bit


Playing with the OC as i am getting an I5 next month so just seeing what i can push the board and cpu to :)
 
when i upgrade in Christmas sales :), what is the best bang for buck.

I5 or AMD 6 core. as i am not a power user i will not to looking at the I7.
I will be something like Intel i5 760 or Phenom II X6 1055T
 
Personal choice would be the i5 760 and overclock to 4ghz ~

But, Intel and AMD will be launching new processors early part of next year, but not certain when.
