Intel D 820 to CD2?

Running an intel 2.8 D 820, (dual P4 i think they are really). What kind of difference would i see if i went down the core 2 duo route? is it worth it? I do a lot of photoshop.dreamweaver work and game moderately, games such as the up and coming command and conquer 3 etc i will be playing a lot.

Intel Core 2 DUO E4300 "LGA775 Allendale" 1.80GHz (800FSB) - Retail
GeIL 2GB (2x1GB) PC6400C5 800MHz Value DDR2 Dual Channel Kit

If i wanted to do a light clock on the cpu without faffing with voltages, just simply upping the multiplyer for something stable, so nothing silly what kind of cooler do i need as i want a very quiet rigg, would the stock cpu cooler allow me to clock the chip, and if so what to?

At 400 FSB that E4300 would hit 3.6GHz O.o

The E4300 multi is 9, E6300 is 7

400 x 9 = 3.6GHz = E4300

400 x 7 = 2.8GHz = E6300
