Is it possibel to use the upgrade version of win 7 / win 8 to do a clean install on a new build with

Hi all. I just build my rig and I need an OS. Thing is I can get an upgrade version of windows for very cheap as a student. But for that as far as I understand I need to have a previous version of windows installed and activated on my PC.

But do I really need it? On many sites like sevenfourm.com I have seen people claiming that you dont need that, and you can do a clean install using "custom installation". Is that right? And more importantly, will I be able to activate it genuinely?


To specify actually, I do have a (legal of course) win xp CD lying around, but the problem is that it has no SATA drivers and I dont have a floppy drive to feed it the drivers... I know there are other solutions to that problem, but frankly they are complicated and more importantly it would be a x32 system and afaik I can not upgrade to x64 from x32 so I would have to make a x32 win7 system, but i clearly prefere a x64 version.


So can people confirm that it works and is legal and that activation will be no problem without a previous OS installed on my PC, or confirm that it will not work, or that I will not be able to activate it etc.
I definitely dont want to do anything illegal, and I do OWN an XP version even though I cant install it...
