Is it worth upgrading from a P4 630 3Ghz > P4 670 3.8Ghz?

800Mhz seems a good enough jump to me, but the benchmarks I have seen don't seem very convincing.

Or is it best to go C2D and get a MB and RAM as well?

Depends what motherboard you have.

MSi MS-7046.

That uses an outdated chipset that only supports P4s and Celeron Ds. Better off upgrading the motherboard and getting a C2D.
