Is it worth upgrading

hi , my current setup is listed below , i'm thinking of upgrading to core 2 duo or quad core , what i'm wondering is wether the performance increase is going to be a vast improvement , i play mainly online games , cod2/4 , i'll keep the psu and card and upgrade the board/cpu and memory , anyone got any advice ,

socket 939 amd athlon 64 x2 4400
tagun modular 480psu
bfg 8800gts 640mb card
asus a8n sli mobo
2x1gb ocz memory

no tbh . Although not cutting edge technology, that system should still play all the latest games on the highest settings. I have upgraded from a 4400+ recently but only because it developed a fault. I was playing Bioshock @ 1920 on highest settings all beit it was a GTX but the GTS should play highest settings @ 1600.
