Is my Heatsink Too Big?

I haven't built my new\updated PC yet - waiting for my Windows 7 to arrive.

It's an AM3 MoBo, with Phenom II 955 and this HSF

My case is an ATX Midi Tower.

Just looking at the heatsink - it is huge - and I have a couple of concerns.

(i) The fan looks like it is going to overhang RAM slots 1 and 2. The memory is standard shape so doesn't have the tall fins so I expect it will nestle under their, but may not be accessible once the HSF is in place. I notice the Fan clips on with spring clips so it may be possible to remove it but not sure. Would it be best to use slots 3 and 4 - any detriment to doing this?

(ii) The HSF is tall. It will almost hit the side panel of the case. More though, is that it will be very close to the PSU. The PSU has a fan on the bottom (the only fan it has) and the HSF is going to be right up against the grill. Is this a problem?

It's actually quite small by today's standards... what's your case? Being close to the PSU fan can actually be a good thing.
 
I have pretty much the same set up as this in one of my pc's, AM3 955, core contact cooler and midi tower.

Yes with the fan in place you probably wont be able to remove memory in slots 1 and 2, i have mine in 3 and 4 and it runs just fine.

It maybe close to the psu but in no way will it be close enough to cause a problem with airflow through the psu, it would have to be hard up against the psu to cause any serious issues.
