I'm upgrading my pc due to mobo failure - I was on a socket 939 box before so I assume I need new RAM and CPU as well as a new mobo.

This is what I am about to order:
Gigabyte GA-EP43-DS3 Intel P43 (Socket 775) PCI-Express DDR2 Motherboard £74.99 1 £74.99
Intel Pentium Dual-Core E5200 "LGA775 Core 2" 2.50GHz (800FSB) - Retail £53.99 1 £53.99
Kingston HyperX 4GB (2x2GB) DDR2 8500C5 1066MHz Dual Channel (KHX8500D2K2/4G) £37.38 1 £37.38

Am I correct in thinking that these will all work together?

Yep they all will work fine.

As you speced 4gb of RAM, if your using a 32bit operating system then you will not be able to use all the available memory.
 
Right.

Just out of interest - when I change the components will I need to format my hdds? Or can I install the new drivers and hope there isn't any conflict with the old drivers?
 
You can change the board without doing a re-install, but I always do a fresh install to ensure there are no conflicts or problems :)
