Is this setup ok?

Im going to overhaul my pc, ive chosen the following. I was hoping someone could tell me if i got the right memory & everythng.

Asus M2N32-SLi-DLX Motherboard
AMD Athlon 64 X2 Dual Core 6400+ Black Edition 3.20ghz AM2
G.Skill 4GB DDR2 PK PC2-8500C5 (2x2GB) CAS5 Dual Channel Kit (F2-8500CL5D-4GBPK)
Thermalright Ultra-120 Extreme CPU Cooler (Socket AM2/LGA775)

I want the GeForce 9 GX2 aswell but its not out till later.
 
my current setup is

amd 64 x2 4500+ overclocked 10% with a similar thermalright heatsink. You think its a little big when im not overclocking much?
asus A8N32 deluxe
2gb corsair twinx 3500ll pro
2x GeForce 7800GTX in SLi

Ive always used AMD, so i kind of like to stick with it. Is intel a much better option then?
 
Ok i decided this cpu is for me cause i dont care about quad core

Intel Core 2 Duo E8400 LGA775 'Wolfdale' 3.00GHz (1333FSB)

What motherboard, heatsink & memory is best to go with it? I have no idea what im doing with intel. Help! :) i want top end stuff but not that fussed on overclocking.
 
Is quad core worth it? i dont multitask that much.

I understand that quad core is 4 cores working together side bt side spreading the load & not say 4x 2.5ghz cores adding up to become 10ghz of power?
