Well to answer your question the CPU I was going to buy had gone up in price which was the model before this CPU and the one I got was on sale and was slightly better then the one I was going to. Why is the fact it can be overclocking change how it is going to proform?

Overclocking is essentially tuning, basially your processor could be at 3 ghz and by "tuning" it you can be pushing it to 3.5 ghz
So basically more performance.....
 
its just stunted potential is all, if you got better bang for buck then all is gravy anyhow.

Tbh if your system runs everything you need it to at tock then OCing will not provide any benefit, it does make you sound cool/geeky though.

On a side not don't go to 64 bit with anything less than 4Gb of ram, its a little more memory hungry but when you consider the 2Gb its using allows you potentially 30Gb free over 32bits 2-3Gb you can forgive it
