Quite simple to do.
If it was me doing it, Ubuntu desktop install to cover the HTPC side of it and then install mdadm to create a RAID array for the NAS side of it, samba to share over the network and you're good to go.

easiest way install openelec (can run off 2gb ram or less), will play his media and can act as a nas, enable samba when installing, wouldn't bother about raid just have media backed up to another 3.5 disk

Yep, definitely doable and works fine, I had that setup for ~2 years until I got annoyed with the noise (and moved house) so split it into two machines, one with many spinny drives and the other being entirely passive.

As we're in the linux thread and all.

What about having your setup in the OP as your media server and then buy either a nowtv and sideload plex for your HTPC side of things (£15) or alternatively a raspberry pi running openelec (£50 with a psu, SD card and case)?

I wouldn't want my home server next to my TV with the noise it makes
