Have you actually made the USB stick bootable by placing the requisite system files on it or just copied the memtest86 executable to a blank stick?

If the latter then you need to make the USB stick bootable first. Easiest way to do that is to Google for a proggy called Windows Enabler which will let you use XP's option to format an MS-DOS boot floppy but targetting the USB stick. Works like a charm and you can then just toss the memtest86 exe on there as well and it should boot fine.

BTW, when booting from USB make sure you unplug all other devices. My dozy PC gets very confused when trying to boot from a USB stick when there are other USB devices connected aswell.
