i would like to go for a p35 chipset it seems the right way to go the quad core is abit oiut of my price range (budget £250 but i can live with £275)

anything you think should be changed? would like to order it some time this week as my 8800 dvdrw and harddrive are only 3 months old i will be keeping them with this new build)

RAM with better potential, beter timings, good stuff

The mb is fine. Are you planning to overclock the processor at all though ? If so you might want to drop down to a better value processor (an E21** perhaps).
 
If you could give overclocking a try, id happily suggest getting a E2140 and overclocking it to ~3ghz.

I learnt how to overclock it, and got it to that speed in a weekend, now its just a very cheap 3ghz processor.
