Mobo, ram, cpu £250 upgrade

Hey, i was looking to upgrade my CPU, RAM and motherboard.
At the moment i have a AMD 2ghz 939, with a asus barebone motherboard and some un-named ram from ebay.
Looking to spend around £250, i game occasionally, really just for general use (doubt i'll need/afford a quad core), i'd like to overclock, even though i've never done it before.
 
could go with the following or swap the mobo/cpu for a c2d 2200 and asus p5k (would come to £236.42).

Do what mp says except change the board up to a P35 board, say the Gigabyte GA-P35-DS3L Intel P35 for £62.26 as it will allow for further upgrades and should be better in the overclocking department. (Of course coud could get the artic freezer 7 for £17 to get the total price back to £250)
