So I have an old PIII750 want to use it to only serve files and backup.
Can I get away with a RAID (mirror) and just plain old XP pro.

Absolutely. No reason why not since if that's all you're using it for, the features in something like Server 2003 would be wasted. You could also use Linux, but if you're more comfortable with Windows then 2000 or XP is a fine choice. Anything more would be overkill. You're only really going to be using file shares :)

Another Q. So at a later date should I choose to begin serving media or require a server...can I transfer my (two) RAID 1 drives and RAID card to a new OS without having to rebuild the RAID again.

What about the following;

Only a 16mb download and is a dedicated CIFS/NFS server package. a 1.5Gb windows install would be a waste of hard disk space if all your doing is using it as a storage server.

Once the RADIUS/LDAP support arrives for that, it'll has excellent promise.
