Need a quick answer RE I5's

What is the difference between these two CPUs.

All I can see is one says retail and is more expensive and the other says OEM. Would really appreciate some clarification on the issue.

Retail comes with HSF and boxed, also with 3 year warranty.
OEM is just CPU with 1 year warranty.

Go for the retail.
