Need to upgrade CPU and Motherboard, help needed !

I currently have

- i5 2400 3.2ghz CPU
- Gigabyte H67M-UD2H-B3 motherboard
- Stock Intel Cpu Cooler

I would like to upgrade this for a cpu and motherboard which can be over clocked, i assume i'll also need a better cooler than the stock one which comes with the CPU.

My budget is around £250-350ish but could stretch a tiny bit more if need be but would rather not if the performance gains are minimal. Also wouldn't mind getting an extra 8gb Ram although won't bother if the budget can't stretch to include that as well.

I'm looking at this motherboard, what is the bundles cooler like with it ? good enough to overclock over 4ghz with ?

I recently upgraded as well to an i5 4670k and I got the exact same motherboard with the free cooler. It's a decent cooler, just be careful when screwing the brackets on though as I found them a bit difficult to get on tight.

I've put the cooler on and clocked to 4Ghz with no issues at all. Temps about 23c idle and about max 75c fully loaded using Prime95/Intel burn test which is fine.

Thanks for the replies, I went for the 3570k over the 4670k as I read that the 3570k overclockes better. Is this not true or does the 4670k perform better regardless of if you can't OC it as high ?
 
The 4670k is faster than the 3570k at stock (100mhz difference stock speed).

I have the 4770k and running at 4.4ghz, i could push a little more.
