You'll need to make sure the socket types match, the thermal envelopes match, and you may have issues with the chips being different thicknesses and the laptop cooling system's geometry.

How sure are you that the cpu died? I've seen a lot of dead motherboards, a fair few dead gpus, but not yet a dead cpu in a laptop.
 
Never seen a dead CPU in one either. How was it diagnosed?

I'd say if it's a P4 it's not going to be worth an awful lot, might be better to sell it for parts on an auction site and put money towards something newer (or a desktop if it's feasible!). The problems Jon mentioned are also spot on, I'd be worried too about the power draw being significantly different, just so that the PSU and cooling can keep up.
 
Replacing CPU's on laptops can be an extremely tricky business and can cause more problems than it's worth. If you still want to go through with it i'd do some proper research, look around for guides on the web. There is bound to be some helpful info.
 
thanks a lot for the advice guys. as reguards to john saying that it could be the motherboard that is dead not the cpu when i turn the laptop on it spins up for 2 secs then reboots and loops but never posts but when i remove the cpu and turn it on it turns on and stays on i.e. the power led is lit.

It could still be a fault with the motherboard. A power loop eh? I had my first laptop die doing that. I sold it on ebay and the chap fixed it by resoldering the powerboard on the mobo...
