New Dell - transfer VISTA business before activation?

I'm getting a backup PC from Dell for the office and it comes with Business edition Vista.

Can I instead format and install winxp on the Dell, and install the Vista on my main PC, and activate it on that instead.

Do Dells come with an installation disk?
if they don't. can I just use borrow a Vista disk and use the key given to me by dell?

I think the cd that will come with the dell is locked in for use on that pc. It must check something in the bios as when I try and use my dell cd in another pc, even another dell, an error comes up saying it cannot be installed on this PC. Plus of course you would be breaking the OEM license.

probably not as *** dell licence will most likely be an oem licence tied to the dell bit of kit (sounds a bit obvious when said out loud)
