new Motherboard or RAM?

HI there my RAM and Motherboard are incompatible got AMI bios and get a short beep with ram in. need either new motherboard or new RAM and I want to spend the least possible ideally no more than 50-70 quid. My specs are:
Asrock ConroeXFire-eSATA2 (Socket 775) PCI-Express DDR2 Motherboard

Intel Core 2 DUO E6300 "LGA775 Conroe" 1.86GHz (1066FSB) - OEM

Arctic Cooling Freezer 7 Pro CPU Cooler (Socket 775)

G.Skill 2GB DDR2 LA PC2-5400 (2x1GB) CAS4 Dual Channel Kit (F2-5400PHU2-2GBLA)

Connect3D ATI Radeon X1800 XT 256MB GDDR3 AVIVO TV-Out/Dual DVI (PCI-Express) - Retail

Samsung SpinPoint P HD160JJ 160GB SATA-II 8MB Cache - OEM

NEC ND3550 16x16 DVD±RW Dual Layer ReWriter (Black)

If its the same as my Asrock dual sata2 939 then i had to put the memory in 2 different slots, they wouldn't work in the blue ones i think it was, just gave me 3 beeps and kept repeating.
 
New motherboard would probably be cheaper. something like a nice lil Asus maybe? not sure whats good for that price, but if you replace ram your not gonna get past a gig.
 
Wouldn't it be good if they could tell us this before we order the stuff, instead of having to find out for ourselves via the forums !!
 
yeah i know it kinda sucks - anyway any1 got any ideas how best to solve my problem?? - when I try to power up my system, it is
unable to load windows - it just restarts. This is with just one stick of ram in.
When I put the two in I get nothing - just fans spinning. I understand that this is because the motherboard and ram are incompatible - as this is what i was told when i enquired about my RMA.
