New PC Build Help!

Hi, I'm planning to build a new pc over the xmas hols, and was wondering if the parts I've chosen will be compatible etc.
I also plan to probably overclock the CPU to around 3.2-3.6 GHZ as well.

Some parts have more than 1 choices as I haven't decided which one I want yet, and was hoping I'd get some advice here:

MOBO:
ASUS Maximus Formula Special Edition X38
ASUS P5K PREMIUM/WIFI-AP

PSU:
OCZ Technology 700W

CPU:
Intel Core 2 Duo E6850

RAM:
2GB kit (1GBx2), Ballistix 240-pin DIMM, DDR2 PC2-6400 - BL2KIT12864AA804

HSF:
Arctic Cooling AC-FRZ-7P Freezer 7 Pro

Case:
Antec Nine Hundred/Ultimate Gamer Case
Antec P182 Gun Metal Black Case
Coolermaster Mystique RC-632B Black Tower



These are the old parts I'm transfering:
HDD:
HITACHI Deskstar 7K500 500GB S300 16MB * 2
GPU:
Gainward Geforce 7950GT 256MB

Got the money so can afford a E6850. I was thinking of getting a quad but as not many software use all 4 cores + there is the heat issue so I thought a dual core will be more stable.
Only really gonna use it to play some games / watch some HD movies / surf web etc.
 
I'm a heavy downloader so the computer will be on pretty much most of the day, that's why I'm scared there may be heating problems. I don't think I'll be doing anything that will stress the CPU to the max so I should be ok there.
But the rest of the setup seems fine?
 
Right then I think I'll have to settle for the Quad core and overclock that. An overclock of the Q6600 to 3.2-3.6 GHZ is ok with the HSF I've chosen? I hear that's a fairly good one to use, even for overclocking. Still not sure which motherboard to go for either, ones a X38 chipset and the other is cheaper...
