Old rig toasted - upgrade time

My venerable athlon 3200 rig is now toast due to HSF failure. I still have the Eclipse case a decent power supply and optical drives and a copy of windows XP. I am a bit out of touch with the latest hardware so what should I be looking for around the £300-£350 mark?
