operton 165 to a e6300?

hi guys, currently have an operton 165 dual core sitting at 2ghz, i have got a spare e6300 core 2 duo cpu lying around, is it worth buying a board and memory for it, giving it an overclock and using it as an upgrade? would i see a decent increasein performance over the amd setup i currently have?
