Partial HTPC spec?

Morning all,

At the moment my gaming PC is also used as a HTPC, connected to the panny plasma via a 15 metre HDMI cable.

This works fine but no matter how hard I try, I can't get an acceptable level of noise from it without compromising my gaming/overclocking abilities.

It dawned upon me last night that as I still have my old FX4100, Gigabyte GA-78LMT-S2P and Xigmatek Loki cooler sat on the side doing nothing, perhaps I could build a seperate HTPC?

My requests are budget as low as possible, and it needs to be basically silent otherwise there is no point.

It will be used to run XBMC only, streaming the data from the existing PC via homeplugs. It will need a HD of some sort for the OS though. No idea whether i need a seperate GPU or will the onboard be enough?

Any suggestions?
 
Oh one more stipulation is that it will need to fit on a shelf sideways (like the sky box) not standing up.
 
Good spot on the fan speed, thanks! It's already adding up to more than intended. Not sure where I can save any money though :(
