i have been looking around for a passive cooler for my 5850 and thus far i have only found the accelero s1 but it appears that it or the card need modifying for it to fit. so my question is are the any good passive coolers other than the accelero?

I suspect the card will run too hot to be passively cooled very well. At idle the 58xx range are quite cool and very efficient, but when gaming or doing anything else intensive it will probably get too hot, possibly causing damage. Can you not just fit a fan and maybe keep it spinning at say 40%?
damn well then do you think that the accelero or any other passive vga coolers will fit a 120mm?

no to passive cooling unless you want a fried card.
