PC Locks up randomly not sure what to check!

I bought the following setup from OCUK this week and im having nightmares with freezing

Gigabyte Z68AP-D3 (MB-364-GI)
8GB Kingston HyperX DDR3 (MY-094-KS)
Intel Core i5 3450S (CP-416-IN)
Crucial 128GB 6Gb/s Solid State Hard Drive (HD-009-CR)

after setup of the board it didnt post so i returned it to the OCUK counter and the tech guys flashed the BIOS to accept my cpu.

Upon returning home all went well, i left setting in bios and everything run great during windows 7 install.

Then after a few setups and installs i notice it starting to crash and randomly freeze.

so i decided to download and boot memtest86 first, ran that with zero errors.

i then decided to re-install OS from fresh format on the SSD, still freezes i then proceeded to check GPU and swapped to a working GTX 560Ti still locks up.

removed everything non essential and still locks up. Went down to 1 stick of RAM (4GB) still same effects.

i also notice the CPU temps are around 31'c and everything seems cool temp wise.

any suggestions before i start thinking about possibly returning this for ocuk to check? its completely random and even locks up in the bios once or twice.

this is all also running on an OCz 650w PSU in antect case with nothing else.

did i buy a crappy mobo that wasnt designed for the CPU etc?? its a rev 1.0

thanks for help so far guys im trying each suggestion as we speak.

am i right in thinking:
Intel's new IvyBridge based CPU's is a refresh that requires socket LGA1155 mainboards based on Intel Z77 Chipset. (From CPU desc)

means i should actually be on a "Z77" board???
 
another quick question as well:

right click of my computer gives me the following:

Intel(R) Core(TM) i5-3450S CPU @ 2.80GHz 3.40GHz

whats the 3.40GHz mean? i can only assume it can be clocked to that?
 
just an update while i remember;

managed to speak with Ocuk sales staff and took the gigabyte back, swapped it for an asus p8z77-v and it solved all my problems. =)

now to get a decent cooler..
