PC Shutsdown but doesnt Poweroff?

PC specs first.

Intel Dual Core E5200
Gigabyte G41M-ES2L
4GB OCZ Reaper PC6400 ram
Nvidia 8800GT
Be Quiet! 600W PSU.

Anyways i've been trying to overclock my CPU recently as i've got a GTX 460 coming and I want to reduce the bottleneck. I have managed to get a prime stable overclock of 3.7ghz and the ram is memtest stable on that overclock aswell. Gpu is stock.

However here is where the problem is, at that overclock when I shutdown my pc or restart windows it does shutdown the os however the pc fans and HD's appear to still be on aswell as the power on LED. I can only manage to get the pc to restart and shutdown properly when I reduce the overclock to 3.4ghz roughly, I have tried many different overclocks (lowering the multiplier and psuhing the FSB) and all can't go past 3.4ghz and tend to be lower than that aswell. The motherboard is apparently capable of taking quad core CPU's therefore should manage a FSB of 1333 natively and the overclocks i'm doing are no where near that anyways, I have tried upping the MCH voltage but i'm not sure what the issue is here.

Is it just because i'm using a cheap motherboard? Or is it something else thats playing a factor, maybe the PSU isn't powerful enough?
 
a 600W BeQuiet is plenty powerful enough to overclock an E5200. Like you said, maybe using a cheap motherboard may be your problem. Although it allows overclocking, it's not what you would call an overclocking board. I have used that exact board in many builds, (no overclock) and it's absolutely brilliant value for money and excellent at what it does.

Maybe have a look on GigaBytes website for the newest BIOS Firmware.
 
Updated to the newest BIOS. I think you're maybe right I was suspecting it was the board, for the price it's fantastic but there has to be a catch somewhere I guess.
 
I was going to do exactly that but may not bother as if I can't OC this cpu to it's full potential then it would annoy me even more with the Q6600. And i'm not sure what the benefit will be on most games etc dual core over quad clock for clock.
