PC Upgrade help

Currently have;

939 3700+ SD
2x 1gb ddr400
K8-NF9
NEC 2350 DVD-RW/DL
1 x Samsung 80gb Sata
1 x Samesung 250gb IDE
1 x Seagate 200gb IDE
1800xt 3d Connect
480w Hiper
Antec 1080AMG

I use it for light gaming and a lot of encoding (DIVX) and it takes forever doing DIVX Files also I need more storage, also it needs to be a bit quiter as is a wee bit loud.

So new;

CPU, Ram, Motherboard, PSU, HDD (500gb) and Case

Case needs to hold 3/4x 5.25", 2x 3.5 on show and a cooled 5+ 2.5" drives.

Budget of £600 ish.

Incase it matters reinstalling xp on it.
 
Will that motherboard PSU work with my ATI GFX as its not SLI or even NVIDA? Also do i have to buy thermal paste or would the HSF come with it?

Right have a look on sites it seems that the C2D e6400 is quicker at encoding DIVX files than the fastest 939 cpu 4400+

5 min encoding 8.39 (939) vs 5.52 (C2D) which is a fair difference so theres only three questions left.

1) Would the AMD make up for it if i tried OCing it or would the C2D still be better? Also how easy is it to OC the C2D.

2) How long will the 775 socket be in use as the 939 only lasted 2 years if that :(

3) Would the tagen PSU be better than that crosair and would either have long enough wires to work in a p180?
