PC won't boot with any RAM

Having some issues with the computer downstairs in the main living room. It's been out of action for a good while since we only had a CRT TV downstairs, but recently upgraded to a plasma so we got bits needed for the machine. I ordered some new RAM, CPU cooler, HD4350 graphics and wireless network card and added them to the machine.

However the machine wouldn't boot at all, just sat there. Then I noticed that I'd only plugged in 20 of the 24 pins into the main motherboard power connector so I thought "Aha! That's why". I plugged the rest of the pins in and it booted up no problem at all, but my keyboard wasn't working (guessing legacy USB was off) so I turned the machine off to add a USB->PS2 convertor. I tried turning the machine back on and got nothing.

I tried a few more times and it eventually booted, but I was concerned that it wasn't booting very well so turned it back off. Then tried about 20 more times to get it to boot and it just wouldn't boot - the system powers up, the HD kicks in (can hear the noise), all fans spin up (case, cpu, graphics) and everything looks hunky dorey but no video is shown and no beeps are heard.

I thought it might be the graphics card so I removed it and added the old 7600 GT back in, but that didn't solve it. I then removed both the graphics card and the RAM to see if I could get any beeps there and it did beep. I added the graphics card back in, and it again produced beeps due to the lack of RAM. I then added the RAM back in and it just did the same as before - no video, no beeps, system seemed to power up but it doesn't give that "Everything OK!" single-beep.

I grabbed 2 other types of ram from the upstairs machine thinking that the RAM is either (a) dodgy or (b) not compatible, but I after trying both sets in every position possible it just will not boot. Then I removed all the RAM again and it gives a beep error.

It just won't boot with RAM in.

Should I conclude this is a motherboard issue and buy a new one? Just looking for a 2nd/3rd/4th (etc) opinion on the matter before I order one.
