Pentium D 805 problems

Newbie here, done a search but nothing seemed to come up!

PC spec is as follows:

Asus P5VDC-X motherboard
Penitum D 805 processor
2 x 512meg Cosair value ram DDR2 533
Nvidia FX5200 graphics card
Coolermaster 450w PSU
Artic Cooler Freezer Pro 7
All in a nice Thermaltake case, runs nice and cool

Problems are I just can't get it to clock stable, for example, it'll clock to 3.1 and boot up, seem fine for a few hours then randomly reset, I knocked it down ot 2.9 and it was left running for 2 days without problems, doing all sorts, games, encoding dvds etc, then all of a sudden it started randomly resetting again, doing my nut in! Bought the motherboard and processor on a budget as I was led to believe it'd clock well and stable for those without lots of money!

Any advice on how to get this to clock to a stable speed? Theres not many options in the bios, clock speed, async, northbridge/southbridge stuff and thats about it, can't seem to alter voltage or multiplyer or owt?
 
Everything I bought brand new, the mobo, cpu and ram is a few month old, GFX card I bought about 3 year back.

I've been thinking its the mobo thats no good, or maybe the old GFX card?
