Performance Increase from AMD to Intel??

I currently have an AMD Athlon 64 X2 Dual Core 4800+ 2.40GHz (Socket 939) CPU, and shall probably be getting a Intel Core 2 Quad Pro Q6600 "Energy Efficient SLACR 95W Edition" 2.40GHz (1066FSB). How much of a boost in performance shall i get from the new intel cpu if i dont overclock it, as they are both the same speed, 2.4GHz?
 
Yeah but no games and not a lot of programs will use the advantage of the 4 cpu's over the 2 will it??
 
So instead of me upgrading my mobo (to an intel one) and Ram to DDR2, i might aswell just same money and buy only the GFX card, Nvidia 8800GTX on its own!?
 
How easy are the AMD X2's to overclock then, i have a ASUS A8N-SLI mobo, and am using the retail heatsink and fan with the CPU?
 
I would probably get a Tuniq tower sat to cool the cpu, but im not 10% sure what my case is now, ive had it 2 years and i know that the Tuniq tower sat does fit into all case, anyone know how wide the case has to be to accompany the Tuniq tower sat cooler?
