Photoshop help ???

Heys I am a bit of a noob at photoshop and have been slaving away at this all day but to no avail - could someone please help me out.

what i want to do is inverse (black and white) the first image and add the tomax logo file on top so that it fits the width of the first image at the top.

If someone could explain how i do this would be very much appreciated.

To invert the colours, just press Crtl + I.
