Currently at the moment I have an Asus M2N32-SLI Deluxe/Wireless Edition motherboard. The website says the board supports AM2+ type processors. I was looking at the Phenom II 940 naturally but I am unsure if it is the best choice. The motherboard supports only DDR2 800Mhz RAM of which I have 4 1gig modules Kingston HyperX DDR2 800MHz / PC2 6400.

Will the PII 940 be happy with this ram or is there a better choice of processor?

P.S. My current processor is the AMD Athlon 64 X2 6000 3.00GHz.
 
It should be fine. As it's a BE processor with an unlocked multi you won't be forced to push your DDR2 unnecessarily.

Just make sure you use your current chip to flash the boards bios to the newest version so you can use the Phenom.

I'd say just get it! :)

your motherboard support ddr2 1066mhz with am2+ cpu's like the 940.
