power reset problem

Thursday morning I went to turn my pc on and the power would reset every 3 seconds. After trying afew things I final fixed it by removing the cd I forgot I had left in the drive. The computer continued to work for the rest of the day without any problems and shut down fine.
The next day I went to turn it on and had the same power reset problem as the day before. There's no cd left in the drive and I've had to go all the way back to just the board, psu and processor to get it working. As soon as I put any ram in the problem comes back. I thought it was a problem with the ram but buying some new ones hasnt fixed it.
The problem seems to be with the board as soon as I put ram in. I've reset the bios with the jumpers and battery. I cant get into the bios normally as the power cuts before anything gets to load. Also there's no signal to my monitor and my keyboard doesnt light up when I first turn my pc on.

Before I get my mobo replaced does any1 have any idea if there could be any other cause apart from a dodgy board?

specs:
asus p5k
quad core cpu
hiper 700w psu
ddr2 2gb ram

cheers tazn
