Q6600 system failing time for upgrade

It's been a while since I built a PC, but my Q6600/Asus P5W Deluxe system is starting to fail now. Takes several goes to get it to boot into windows, often requining me to power down the system a few times. It is time to make my desktop reliable again with a decent upgrade.

I was thinking of getting these components to upgrade system:

Asrock Z68 Extreme4 Gen3 Intel Z68 (Socket 1155) DDR3 Motherboard
Intel Core i5-2500K 3.30GHz (Sandybridge) Socket LGA1155 Processor - OEM
Noctua NH-D14 Dual Radiator CPU Cooler (Socket LGA1366/LGA1156/LGA1155/LGA775/AM2/AM2) **BLACK FRIDAY SPECIAL DEAL**
Kingston HyperX Genesis Grey 8GB (2x4GB) DDR3 PC3-12800C9 1600MHz Dual Channel Kit (KHX1600C9D3X2K2/8GX) **BLACK FRIDAY SPECIAL DEAL**

I do like a quiet pc hence going for the Noctua cpu cooler :)

Just thoughts on that particular motherboard and ram. Something reliable, I would be happy just using automatic oc settings which I understand should get that cpu upto around 4.4ghz, which would be great for me.
 
That should be absolutely fine, assuming your case and PSU are suitable. If you wanted to save a few quid the Gigabyte Z68 D3 board is very capable for just over £80.
