Boys, I had this exact same problem with a p35c-ds3r yesterday, wouldn't even let a 1 mhz overclock. Now I know this could overclock because I had done so to 3.4 last week but turned it down when I went on hols. There was one setting I had to change in the bios to get this working. High Speed DRAM DLL Settings had to be changed to option 2 instead of option 1 and it all worked again. The weird thing is I'm sure that was on Option 1 when it worked last time.
Let me know if this works for anyone else.

the above doesn't seem to be the fix.. It appears to be luck that it worked when I changed this..
Altho it was all overclocked and showing in windows when I tried to re-enter bios it restarted again and upon entering it was back to overclocking turned off.
I tried changing between option 1 and 2 on dram and this wouldn't work any more.
I loaded optimal defaults and restarted. Entered bios again and set all my settings and it worked.
This is with the dram on option1 not 2 so my first guess was way off.
