if i buy the Microsoft Windows Vista Home Premium SP1 64-Bit - OEM + Windows 7 Upgrade Voucher ,is it a free upgrade or xx% off? also i guess it'll be windows 7 home premium OEM?

I would imagine OEM. You're buying OEM vista, which will 'upgrade' to Windows 7.
