Definatly be buying the retail copy, a lot better value for money in the end.

EDIT : On a popular competitor they are selling vista ultimate retail for £305. Once you look at the description, it says it includes 32bit AND 64bit DVD's. Does this mean you can use both then ?

Yes but only one at a time. You can only have one install at a time with one product key, be it 64 or 32 bit
