Replace mobo or cpu too?

Hi there,
I currently have an Asus P6T Deluxe motherboard with an i7 940 sitting on it.
I would like to upgrade my board mainly for sata 3 speed. I've thought about just getting a new controller card in the past but realized I would never get the full bandwidth with them.
Should I invest in a new motherboard or go the whole hog and get a new cpu too?

I would stick with what you are using.

The i7 9xx CPUs are still very powerful and have plenty of life left in them.

For every day use you will not notice the diffence between sata 2 and sata 3.
 
It is not really worth upgrading just for sata 3. Real world differences are negligible and there is virtually no difference at all unless using SSD's. I certainly wouldn't be upgrading your processor until at least haswell, the 940 is still plenty powerful for most things now.
