Will one overclock better than the other? and is there really a difference in the chips?

Both run at 1.6ghz 2600=256 cache 2800=512 cache
well, I've got my 2600 to 2.4GHz and was hoping I could get the same result with a 2800 that I've been given? Or should I just stick with the 2600?
Are you talking socket A or Socket 754?
If you mean socket 754 - I think for the money they are astounding. The cache doesn't make much difference in most applications and they overclock like crazy (assuming you are talking about a 90nm E6 revision chip)
If you are overclocking go for the 2800+. The 2600 only has an 8x multiplier so you will need one hell of a board to get the HTT speed to fully overclock it. With the 9x on the 2800+ you'll still need a good board to get 2.4ghz+ from it, but it's far more achievable.
Ultimate overclockablility should be similar

yeah, I was referring to the 754 Sempron. Do they have different multipliers on that socket?
