SFF PC build recommendations

Hello,
I am in the process of building a new pc for my dad as the pc he was using has finally packed in (an old celeron 300 oc/d to 450 Mhz lasted a good few years!) and was thinking of the following :

Intel Core 2 DUO E4300
GeIL 1GB (2x512MB) PC5300 667MHz Value DDR2 Dual Channel Kit (GX21GB5300DC)
Hauppauge WinTV Nova-T PCI Freeview TV Tuner
Antec NSK1300 ATX Cube Case - 300W PSU Antec NSK1300 ATX Cube Case - 300W PSU
Asrock Conroe945G-DVI (Socket 775) PCI-Express DDR2 Motherboard
Liteon DVD-8900 16x DVD±RW/RAM (Black) - OEM
Hitachi Deskstar T7K500 NCQ 320GB SATA-II 16MB Cache - OEM (0A33435)

Is this an ok build ?
Here are the main requirements of the PC:
Mainly used for email, web surfing, word processing and occasionally watching TV (not as a main TV). No games will be played so no reason for a seperate graphics card. Additionally got to be smallish and cheap and should last at least 5+ years. Don't need a monitor/keyboard as my dad will continue to use the ones he already has but a DVI output might be nice in case he wants to upgrade to a TFT in the future.
If there is the possibility of a small overclock that would be good but dont want to go anywhere which might cause system instability and the extra CPU power probably won't be used in the next few years anyway.

My main concern is the CPU/MB combo has anyone else tried this combo does it work and could i expect a small overclock ? Should I possibly go for an e6300/66400 instead ?
