Should i go from AMD Phenom 1 to 2?

Yes!

Practically every 940 runs at 3.5GHz on stock volts with just a multiplier increase, clock-for-clock the PII is quicker, much quicker in some benchmarks.

- more cache
- better interger calculations
- cooler at 45nm
- faster
- overclocks very well
- lower power draw (good for not frying your mainboard)

I have an different cooler than the box standard one, I went with thus massive azus one cost me quite a bit.

It'll work fine with w/e setup I have my Phenom 1 on yeh? Don't need to get specific stuff like ddr3 or anything?

I do a lot of 3d and I need my render times as low as possible, so hopefully this 940 will help cut off a few seconds render time.
 
Cooler will be fine, if your current motherboard supports the Phenom it will most likely support the Phenom II without a BIOS upgrade, the PII is DD2. :)

As for speed in 3D, even at stock clock speed you should notice a decent performance increase.
