Shuttle upgrade advice please

My father has an old Shuttle XPC G, G2 chassis and the following specs(which I obtained from CPUZ program):
Mobo: FN45 (from the manual) and comes up as FN41 SP with CPUZ
Memory: 2x 512MB PC3200 RAM
CPU: AMD Athlon socket A, 1144 MHZ
Graphics card: Nvidia Gforce4 MX 4000
HD: 120 MB
DVD player/burner
OS: Windows 2000
PSU: don't know but can check

The system is very slow and showing it's age.
My father has a £400 maximum budget for a new system (he already as the monitor/keyboard,mouse, printer etc) and there seems to be quite a lot out there in the land of midtop desktops and components...

Looking at my options I can either:
1) buy a system ready to go
2) building him one from scratch
3) upgrade the innards of his Shuttle.

I've got no experience building small form factor PCs, but after taking the case off and having a quick look-see, it all looks much the same just more compact and neat. I know cooling can be an issue and one has to be careful on choice of components.

It will be used mainly for web/email, writing letters, downloading/viewing photos, Youtube video, BBCIPlayer etc Gaming not an issue but it wouldn't hurt as I might be able to tempt him to the dark side over time :) .
So nothing too fancy, high spec, expensive

Any recommendations, advice and help would be greatly appreciated.

PS, need a new OS so that would have to be factored into the cost. Windows 7 perhaps?

Would you be interested in a used PC.
I have this one for sale and I am looking for £180, which will include courier delievery.

Silverstone Sugo SG01 case (black)
Asus AV8-MX Skt939 motherboard.
AMD 64 3500+ @2.2Mhz.
Kingston 2 x 1GB DDr 400 memory.
ATI Radeon 9600 /x1050 graphics card (AGP).
Hitachi 320GB SATA hard drive.
Asus DVDRW drive.
Antec 400watt PSU.
Standard fans have been replaced with 3 x 80mm Xilence fans.
Kazemaster Scythe fan (X4) controller with four temperature zones.
Windows 7 home premium Retail (32bit installed), but also has 64bit if you wish to install that.
If you are not interested, I will put it in the MM.

Hi trackrat, sounds interesting, thankyou. I was looking at a PCI based system and a x2 CPU to be honest. I will have a word with dad and get back to you this morning if that's ok. Certainly is a step up from my father's system!

A couple of questions if you please:

1) Does it come with windows 7 disk as well?
2) How old is the system
3) does it run resonably quite and stable?

Q1, Yes it comes with the full retail version, 32 & 64 bit disks.
Q2, It is 2 years old, but the case and fans are brand new.
Q3, It is very quiet, and can be made even quieter by turning the fans down, as they do not need to be on full speed to keep it cool.
